PHENOM Youth Athlete Sponsorship Program Terms & Conditions

Effective Date: September 10, 2026

These Terms and Conditions (“Terms”) apply to Youth Athlete Sponsorship Packages purchased from PHENOM APPAREL CO, LLC (“PHENOM”).

By purchasing a package, the purchaser or sponsoring business (“Sponsor”) agrees to these Terms and the benefits, limitations, and requirements associated with the selected sponsorship level.

1. Purpose of the Program

The PHENOM Youth Athlete Sponsorship Program allows individuals and businesses to support a specific youth PHENOM athlete in connection with an eligible competition or series of competitions while receiving defined advertising and promotional benefits from PHENOM.

Youth Athlete Sponsorship Packages are separate from the PHENOM Business Partner Program.

Athlete Sponsors support an individual youth athlete. Business Partners establish a promotional relationship with PHENOM as a company.

A sponsorship purchase is a commercial transaction with PHENOM for the advertising, apparel, administrative, and promotional benefits included in the selected package.

2. Parent or Legal Guardian Authorization

Every participating youth athlete must have the authorization of a parent or legal guardian.

The parent or legal guardian retains authority over the youth athlete’s participation in the program and may approve or reject:

  • Use of the youth athlete’s name, image, likeness, nickname, or personal information
  • Sponsorship-related content involving the youth athlete
  • Sponsor categories associated with the youth athlete
  • Promotional statements attributed to the youth athlete
  • Additional requests outside the selected Sponsorship Package
  • Any other activity requiring the youth athlete’s participation

Sponsorship communication, approvals, payments, content coordination, and fulfillment will be handled through PHENOM and, when necessary, the athlete’s parent or legal guardian.

A youth athlete may not independently approve sponsorship terms, grant commercial-use rights, or enter a separate agreement through this program.

3. Youth Athlete Safety and Sponsor Contact

The safety, privacy, and well-being of the youth athlete take priority over every sponsorship benefit.

Unless separately approved and supervised by the athlete’s parent or legal guardian, Sponsors may not use participation in this program to:

  • Request private communication with the youth athlete
  • Request the athlete’s private telephone number, email address, home address, school information, travel schedule, or other personal contact information
  • Arrange private or unsupervised meetings
  • Provide or arrange transportation
  • Request private photographs, videos, messages, or personal content
  • Send products directly to the youth athlete
  • Request access to the athlete’s private social-media accounts
  • Recruit or solicit the athlete for services outside the selected package
  • Pressure the athlete to make statements or create content
  • Contact the athlete in a manner that bypasses PHENOM or the parent or guardian

Any approved communication involving a Sponsor and youth athlete must include or be supervised by PHENOM, the athlete’s parent or legal guardian, or another responsible adult designated by the parent or guardian.

PHENOM and the athlete’s parent or legal guardian may refuse any request considered unsafe, inappropriate, intrusive, exploitative, or unsuitable for a minor.

4. PHENOM’s Limited Role; No Athlete Agency

PHENOM operates this program as an apparel company, advertising provider, and program administrator. PHENOM offers Sponsors the opportunity to purchase defined promotional benefits delivered through PHENOM-produced apparel, websites, social-media channels, graphics, and related promotional resources.

PHENOM is not a sports agency, talent agency, athlete agent, manager, broker, attorney, financial adviser, or professional representative of any participating youth athlete.

PHENOM does not, on behalf of a youth athlete or the athlete’s family:

  • Negotiate sponsorship, endorsement, employment, appearance, competition, promotional, management, or professional-sports-services agreements
  • Solicit or procure contracts requiring the athlete’s personal services
  • Recruit the athlete for professional representation
  • Negotiate compensation, contract terms, or legal rights between the athlete and a third party
  • Provide legal, financial, tax, eligibility, career-management, or contract-negotiation advice
  • Accept, reject, sign, modify, or terminate an agreement for the athlete or parent or guardian
  • Hold itself out as having authority to bind or legally represent the athlete or the athlete’s family

PHENOM markets and sells its own predefined Sponsorship Packages as commercial advertising and promotional products. PHENOM may communicate package information, accept purchases, collect Sponsor materials, coordinate fulfillment, produce apparel and graphics, and distribute athlete-support funds associated with a purchase.

These activities do not authorize PHENOM to represent the youth athlete or negotiate a separate agreement between the Sponsor and athlete.

If a Sponsor requests appearances, endorsements, licensing rights, personal services, customized athlete obligations, or benefits outside the selected package, those requests require the separate written approval of the athlete’s parent or legal guardian. Independent legal or professional review may also be required.

PHENOM has no obligation or authority to negotiate such an agreement for the youth athlete or family.

Neither PHENOM’s receipt of payment nor its retention of a program-administration or service fee creates an agency, management, fiduciary, employment, or representative relationship with the athlete, family, or Sponsor.

5. Sponsorship Packages

The benefits, price, event coverage, and duration of each Youth Athlete Sponsorship Package are stated in the applicable package description and confirmed order.

A package may include:

  • Supporter-name recognition
  • Competition-uniform logo placement, where permitted
  • Event Sponsor graphics
  • Social-media sponsorship features
  • Temporary athlete bio-page logo placement
  • Business spotlights
  • Athlete thank-you content
  • Category exclusivity
  • Other benefits expressly listed in the selected package

Only benefits expressly included in the selected package or confirmed by PHENOM in writing are guaranteed.

6. Nature of the Sponsorship

Each package supports one specific PHENOM youth athlete for the approved event or events stated in the selected package or order confirmation.

A Sponsorship Package is not:

  • A charitable donation
  • A direct gift controlled by the Sponsor
  • An employment agreement with the athlete
  • An endorsement or personal-services agreement with the athlete
  • An athlete-management or representation agreement
  • A purchase of unrestricted rights to the athlete’s name, image, or likeness

Sponsorship purchases should not be represented as tax-deductible charitable contributions unless the Sponsor has independently confirmed eligibility with a qualified tax professional.

7. Sponsorship Approval

All Sponsors, businesses, logos, products, services, and promotional materials are subject to PHENOM’s approval and, when appropriate, approval by the athlete’s parent or legal guardian.

Purchasing a package does not override PHENOM’s right to reject an ineligible Sponsor.

PHENOM may reject a proposed Sponsor that:

  • Competes directly with PHENOM’s fightwear, apparel, or equipment categories
  • Conflicts with an athlete’s existing approved Sponsor
  • Promotes illegal products or services
  • Promotes adult content
  • Promotes tobacco, nicotine, vaping products, THC, recreational drugs, weapons, gambling, or other youth-inappropriate categories
  • Promotes discriminatory, deceptive, exploitative, or harmful conduct
  • Presents a safety or reputational risk to PHENOM, the athlete, or the athlete’s family
  • Conflicts with the athlete’s or family’s values or personal beliefs
  • Is inappropriate for the athlete’s age, sport, event, or audience
  • Otherwise fails to satisfy PHENOM’s eligibility requirements

If PHENOM rejects a Sponsor before activation, PHENOM will refund the purchase price, less any separately disclosed, nonrecoverable custom-production costs expressly authorized by the Sponsor.

8. Sponsorship Activation

A sponsorship becomes active only after:

  1. Payment is successfully completed.
  2. The Sponsor and its business category are approved.
  3. The athlete’s parent or legal guardian authorizes the sponsorship.
  4. The Sponsor provides all required business information.
  5. PHENOM receives a usable logo and applicable social-media information.
  6. PHENOM confirms the youth athlete and eligible event in writing.

Purchase alone does not guarantee immediate activation, uniform placement, or inclusion at a specific competition.

9. Sponsor Materials and Deadlines

The Sponsor must provide:

  • A clear, high-resolution logo
  • An accurate business or supporter name
  • Accurate contact information
  • Correct website and social-media links
  • Any requested brand-color information
  • All materials by the deadline provided by PHENOM

Whenever possible, logos should be submitted in a production-ready vector format.

The Sponsor is responsible for reviewing the accuracy of all submitted information. PHENOM is not responsible for errors contained in Sponsor-supplied materials.

Sponsor-caused delays do not extend the sponsorship period or applicable event deadline. PHENOM is not responsible for missed placement, delayed production, or delayed promotional benefits when materials are submitted late, incomplete, incorrect, or unusable.

10. Uniform Logo Placement

Uniform logo placement is subject to:

  • Available space
  • Uniform design
  • Production requirements
  • Athlete discipline or sport
  • Event and production deadlines
  • Gym or team requirements
  • Promotion and governing-body regulations
  • Competition uniform rules

Placement may appear on an approved rash guard, shorts, Gi patch, walkout shirt, competition shirt, or another PHENOM-approved uniform item.

PHENOM determines the final logo:

  • Size
  • Location
  • Orientation
  • Color treatment
  • Production method
  • Overall presentation

Terms such as “standard,” “largest available,” or “featured” describe the Sponsor’s relative placement level. They do not guarantee a specific measurement or uniform location unless PHENOM confirms otherwise in writing.

A digital mockup is a visual approximation. Minor differences in size, color, material, location, or production may occur in the finished item.

11. Uniform Restrictions and Substitute Benefits

PHENOM cannot guarantee that a Sponsor logo will be permitted at every competition.

An event organizer, promotion, gym, team, governing body, or venue may require a logo to be resized, relocated, covered, or removed.

When a third party prohibits or materially restricts an approved uniform placement, PHENOM may provide a reasonable substitute benefit, including:

  • Placement on a walkout or event shirt
  • Additional event-graphic placement
  • Additional social-media recognition
  • Placement at the athlete’s next eligible event
  • Another benefit of reasonably comparable promotional value

A third-party restriction is not a breach by PHENOM or the youth athlete.

12. Website Placement Period

Website placement is temporary and does not create permanent advertising rights.

Unless a package description states otherwise:

  • Premium Sponsor logos are removed after the sponsored event.
  • Premium Bundle Sponsor logos are removed after the third sponsored event.
  • Exclusive Sponsor logos and Exclusive Sponsor designations are removed after the sponsored event.
  • Continued placement requires another approved and activated Sponsorship Package.

Website placement begins after activation and receipt of usable Sponsor materials. It does not begin automatically on the purchase date.

PHENOM controls the location, layout, size, order, design, and presentation of all logos displayed on its website.

Website maintenance, technical interruptions, design changes, or reasonable administrative delays do not extend the sponsorship period.

13. Social-Media Features

A “coordinated sponsorship feature” is one promotional feature involving recognition through the athlete, PHENOM, the athlete’s parent or guardian, or a combination of them.

A feature may be delivered through:

  • An original post
  • A shared post
  • A reel
  • A story
  • An event or Sponsor graphic
  • A tag or mention
  • A collaboration post
  • Parent-approved athlete content
  • Another appropriate promotional format

Unless the selected package expressly states otherwise, one coordinated feature does not guarantee separate permanent feed posts from the youth athlete, the athlete’s parent or guardian, and PHENOM.

PHENOM determines:

  • The content format
  • The appropriate platform
  • The publication date and time
  • The caption and visual presentation
  • Whether content appears as a post, story, reel, collaboration, or shared content
  • How long nonpermanent content remains available

All youth-athlete content remains subject to parent or legal guardian approval.

Social-media stories and other temporary content may expire automatically. Posts are not guaranteed to remain permanently available.

14. Advertising and Sponsorship Disclosures

PHENOM, the athlete’s parent or guardian, and the Sponsor must make any disclosures required by applicable advertising law and platform rules.

Sponsorship content may include disclosures such as:

  • Sponsored
  • Sponsor
  • Paid Partnership
  • Official Sponsor
  • Advertisement
  • Another reasonably clear disclosure

The Sponsor may not instruct PHENOM, the athlete, or the athlete’s family to hide, minimize, or misrepresent the sponsorship relationship.

Additional information is available through the FTC’s Disclosures 101 guidance.

15. No Required Personal Endorsement

Sponsorship recognition does not automatically mean that PHENOM, the youth athlete, or the athlete’s family:

  • Uses the Sponsor’s products or services
  • Personally recommends the Sponsor
  • Guarantees the Sponsor’s products, services, or claims
  • Agrees with every position taken by the Sponsor
  • Has entered an employment or representative relationship with the Sponsor

The athlete is not required to provide:

  • A product review
  • A testimonial
  • A sales presentation
  • A scripted endorsement
  • A personal appearance
  • A claim concerning a product or service
  • Content unrelated to the selected package

Any personal endorsement must reflect an honest opinion and requires separate approval from PHENOM and the athlete’s parent or legal guardian.

16. Athlete and Family Control

The youth athlete and the athlete’s parent or legal guardian remain responsible for the athlete’s:

  • Training
  • Coaching
  • Competition schedule
  • Weight class
  • Match acceptance
  • Travel decisions
  • Medical decisions
  • School and family obligations
  • Personal conduct
  • Career decisions
  • Professional relationships

The Sponsor does not receive management authority or control over the youth athlete or family.

Sponsorship does not permit the Sponsor to control the athlete’s training, competition participation, public statements, personal accounts, education, personal life, family decisions, or professional relationships.

17. Athlete Illness, Injury, or Inability to Compete

A youth athlete may be unable to train, travel, attend, or compete because of:

  • Illness or injury
  • Medical advice
  • Family or personal emergency
  • Travel disruption
  • School obligations
  • Eligibility issues
  • Weight or matchup changes
  • Opponent withdrawal
  • Event postponement or cancellation
  • A parent or guardian’s decision
  • Circumstances outside PHENOM’s reasonable control

The athlete’s health, education, safety, and family responsibilities take priority over sponsorship benefits.

An athlete’s illness, injury, withdrawal, or inability to compete does not constitute a breach by the athlete or family and, by itself, does not constitute a breach of PHENOM’s obligations under these Terms.

18. Resolution When an Athlete Cannot Compete

If a youth athlete cannot compete, PHENOM may provide one or more of the following resolutions:

  • Transfer undelivered benefits to the athlete’s next eligible event
  • Extend the active sponsorship period
  • Reschedule undelivered social-media features
  • Substitute comparable digital recognition
  • Apply the undelivered value toward a future Sponsorship Package
  • Provide another reasonable make-good
  • Provide a proportional refund for material benefits that cannot reasonably be fulfilled or replaced

PHENOM will consider:

  • Benefits already delivered
  • Production already completed
  • Nonrecoverable expenses
  • The expected duration of the athlete’s absence
  • Availability of a replacement event
  • Whether comparable substitute benefits are reasonably available

The Sponsor may not select a substitute athlete without PHENOM’s approval and authorization from the applicable parent or legal guardian.

19. Benefits Already Delivered

A benefit is considered fulfilled once PHENOM, the athlete, or the athlete’s parent or guardian has substantially completed the related work.

Completed benefits may include:

  • Uniform production
  • Logo printing, embroidery, or application
  • Website placement
  • Graphic design
  • Sponsor announcements
  • Social-media features
  • Business spotlights
  • Athlete thank-you content
  • Administrative and fulfillment services

Completed benefits are not refundable solely because the athlete later becomes ill, injured, unable to compete, or unavailable.

20. Youth Athlete Privacy

PHENOM, the athlete, and the athlete’s parent or legal guardian are not required to disclose the athlete’s:

  • Home address
  • School information
  • Private contact information
  • Private travel details
  • Diagnosis
  • Medical records
  • Treatment
  • Medication
  • Prognosis
  • Recovery schedule
  • Other private personal, family, educational, or health information

Any public announcement concerning the athlete’s illness, injury, withdrawal, travel, or return to competition will be controlled by the parent or legal guardian and PHENOM.

Sponsors may not publish, speculate about, request private details concerning, or misrepresent the youth athlete’s personal or medical circumstances.

21. Events and Third-Party Changes

PHENOM does not control:

  • Event organizers
  • Athletic commissions
  • Governing organizations
  • Promotions
  • Gyms or teams
  • Opponents
  • Venues
  • Broadcasters
  • Media outlets
  • Social-media platforms

PHENOM does not guarantee:

  • That an event will occur as scheduled
  • That the youth athlete will participate
  • That the athlete will receive a particular opponent or bracket
  • That the athlete will be permitted to wear a particular uniform
  • That the athlete will appear on a broadcast or livestream
  • That the event will provide photography or video
  • That a third party will display, mention, repost, or recognize the Sponsor

Schedule, venue, opponent, bracket, broadcast, and rule changes do not automatically create a right to a refund.

22. Premium Bundle Event Counting

A Premium Bundle applies to the athlete’s next three eligible competitions approved by PHENOM after activation.

Only competitions confirmed by PHENOM qualify as bundle events. Participation in an event does not automatically count unless PHENOM received sufficient notice and approved the event for package fulfillment.

An event normally counts toward the bundle when:

  1. The athlete participates in the approved event; and
  2. PHENOM, the athlete, or the athlete’s parent or guardian delivers the applicable sponsorship benefits.

If the athlete cannot compete because of illness, injury, event cancellation, family obligations, or another circumstance outside the athlete’s reasonable control, the event will not normally count unless PHENOM has already substantially completed the associated benefits.

The three bundle events should occur within 12 months after activation unless PHENOM approves an extension.

Events missed because of late or unusable Sponsor materials may count when PHENOM had already begun or completed the associated work.

23. Exclusive Sponsorship

“Exclusive” means category exclusivity for the named youth athlete and sponsored event. It does not mean the business is the athlete’s only Sponsor.

The athlete may have Sponsors from other approved business categories. PHENOM determines whether businesses are direct competitors or belong to the same category.

Category exclusivity:

  • Begins after approval and activation
  • Applies only to the named athlete
  • Applies only to the approved business category
  • Continues only through the sponsored event
  • Ends after the event unless renewed
  • Does not provide exclusivity across the PHENOM athlete roster
  • Does not restrict PHENOM’s Business Partner Program
  • Does not restrict relationships that existed before activation unless PHENOM agrees otherwise in writing

24. Permission to Use Sponsor Materials

The Sponsor grants PHENOM, the youth athlete, and the athlete’s parent or legal guardian a limited, nonexclusive, royalty-free license to use the Sponsor’s approved name, logo, social-media handle, and submitted materials solely to fulfill and promote the purchased sponsorship benefits.

This permission continues only as reasonably necessary to:

  • Produce and display approved uniform placement
  • Publish and maintain sponsorship content
  • Complete purchased benefits
  • Maintain ordinary archival records
  • Repost previously published content showing completed sponsorship work

The Sponsor confirms that it owns or has permission to use all submitted materials.

The Sponsor is responsible for claims resulting from unauthorized, misleading, infringing, defamatory, or unlawful materials supplied to PHENOM.

25. Youth Athlete Name, Image, Likeness, and Content

Purchasing a Sponsorship Package does not give the Sponsor ownership of or unrestricted rights to:

  • The youth athlete’s name, image, likeness, nickname, signature, or personal brand
  • The athlete’s photographs or videos
  • The athlete’s uniform
  • PHENOM trademarks, logos, designs, graphics, photographs, or videos
  • Content created by PHENOM, the athlete, or the athlete’s family
  • Sponsorship-package designs or program materials

Sponsors may repost publicly released sponsorship content to acknowledge their participation, provided the content is not materially altered or used misleadingly.

Sponsors may not, without separate written authorization from PHENOM and the athlete’s parent or legal guardian:

  • Create new advertisements featuring the youth athlete
  • Use the athlete’s name, image, likeness, or content in paid advertising
  • Place athlete content on product packaging
  • Sell merchandise featuring the athlete
  • Create artificial, digitally manipulated, or AI-generated content depicting the athlete
  • Imply a broader or continuing endorsement
  • Materially modify PHENOM or athlete graphics
  • Use the athlete’s content in an adult-oriented, political, controversial, or age-inappropriate context
  • Continue using an active-Sponsor designation after expiration

Separate written authorization is required for any expanded commercial use.

26. Sponsor Responsibilities

The Sponsor agrees to:

  • Provide accurate and lawful business information
  • Make truthful and supportable advertising claims
  • Respect the youth athlete’s privacy, safety, and personal boundaries
  • Communicate through approved adult contacts
  • Avoid pressuring the athlete to promote products or make statements
  • Avoid conduct that could harm PHENOM, the athlete, or the athlete’s family
  • Obtain approval before issuing a statement that claims to speak for PHENOM or the athlete
  • Stop using active-Sponsor designations when the sponsorship ends
  • Follow applicable advertising laws and platform rules
  • Use PHENOM and athlete intellectual property only as authorized

Sponsors remain solely responsible for their products, services, employees, business practices, customer claims, legal compliance, and promotional representations.

27. Sponsor Conduct and Program Termination

PHENOM may suspend or terminate a sponsorship if the Sponsor or its representatives engage in:

  • Illegal activity
  • Fraud or deceptive advertising
  • Harassment, threats, or discrimination
  • Exploitation or inappropriate contact with a youth athlete
  • Attempts to bypass the parent, guardian, or PHENOM
  • Serious professional misconduct
  • Public conduct that could reasonably damage PHENOM, the athlete, or the athlete’s family
  • Unauthorized use of youth-athlete or PHENOM intellectual property
  • Material misrepresentation concerning the sponsorship
  • Repeated failure to comply with these Terms

PHENOM may immediately remove the Sponsor’s logo and discontinue remaining promotional benefits when reasonably necessary to protect the youth athlete, the athlete’s family, PHENOM, or the public.

Termination caused by Sponsor misconduct does not require PHENOM, the athlete, or the athlete’s family to continue displaying or promoting the Sponsor. Completed benefits and nonrecoverable production costs remain nonrefundable.

28. Athlete Departure or Family Withdrawal

The athlete’s parent or legal guardian may withdraw the youth athlete from the PHENOM program or a sponsorship activity when necessary to protect the athlete’s health, safety, education, privacy, or well-being.

If the youth athlete leaves the PHENOM program, becomes unavailable, or can no longer fulfill remaining package benefits, PHENOM may:

  • Transfer remaining benefits to a future eligible event
  • Offer a transfer to another athlete, subject to all required approvals
  • Issue sponsorship credit
  • Provide substitute promotional recognition
  • Provide a proportional refund for material undelivered benefits
  • Offer another reasonable resolution

A Sponsor may request removal of its logo if continued association with the athlete would create a legitimate reputational concern. PHENOM will review the request and determine an appropriate resolution based on the circumstances, completed work, nonrecoverable costs, and remaining benefits.

29. No Guaranteed Results

PHENOM does not guarantee:

  • Competition participation
  • Wins, medals, rankings, or championships
  • Sales, revenue, leads, or customers
  • Followers or website traffic
  • A specific number of views, impressions, or engagements
  • Media attention
  • Sponsor recognition by event attendees
  • Broadcast, livestream, photography, or video coverage
  • Recognition or reposting by an event, gym, promotion, or third party
  • A permanent social-media or website presence
  • A specific return on investment

Sponsorship benefits provide advertising and recognition opportunities, not guaranteed commercial or competitive outcomes.

30. Payment Allocation and Program Costs

Sponsorship-package payments are made to PHENOM in exchange for the advertising, apparel, production, administrative, and promotional benefits described in the selected package.

PHENOM may use package revenue for:

  • Athlete support
  • Uniforms and apparel
  • Logo production or application
  • Graphic design
  • Event preparation
  • Travel or registration support
  • Payment-processing expenses
  • Program-administration or service fees
  • Other costs associated with fulfilling the package

PHENOM may distribute a portion of package revenue to the athlete’s parent or legal guardian as athlete support. PHENOM will not make program payments directly to a minor unless legally permitted and expressly approved by the parent or legal guardian.

Unless PHENOM expressly states otherwise in writing, the package price does not represent the amount distributed to the athlete or family, and the Sponsor does not control PHENOM’s internal allocation of package revenue.

PHENOM’s collection, allocation, or distribution of package revenue does not make PHENOM an agent, manager, fiduciary, trustee, or financial adviser for the athlete or family.

Sponsorship Packages are commercial transactions and are not charitable donations unless expressly processed through a qualified charitable organization.

31. Cancellations, Credits, and Refunds

Sponsorship purchases are nonrefundable after approval and activation except when PHENOM determines otherwise or applicable law requires a refund.

Before issuing a monetary refund, PHENOM may offer:

  1. Completion of the original benefit
  2. Rescheduling
  3. Transfer to the athlete’s next eligible event
  4. A reasonably comparable substitute benefit
  5. Sponsorship credit
  6. A proportional refund for material benefits PHENOM cannot reasonably fulfill or replace

A Sponsor’s change of plans, missed deadline, dissatisfaction with competition results, failure to use delivered benefits, or later decision not to participate does not create a refund right.

Refunds, credits, substitutions, or transfers will account for completed work and nonrecoverable production or processing costs.

32. Limitation of Liability

To the fullest extent permitted by applicable law, PHENOM will not be responsible for indirect, incidental, special, consequential, exemplary, punitive, or speculative losses arising from or connected with:

  • Event changes or cancellations
  • Athlete illness, injury, withdrawal, unavailability, or departure
  • Sponsor sales or marketing expectations
  • Third-party acts or omissions
  • Social-media platform or algorithm changes
  • Lost business opportunities
  • Travel, lodging, tickets, advertising, merchandise, or other third-party expenses
  • Unauthorized or unlawful Sponsor-provided materials

To the fullest extent permitted by law, PHENOM’s total liability for an unresolved claim will not exceed the amount the Sponsor paid to PHENOM for the affected Sponsorship Package.

Nothing in these Terms excludes or limits a responsibility that cannot legally be excluded or limited.

33. Independent Parties and No Authority to Bind

PHENOM, the Sponsor, the youth athlete, and the athlete’s family remain independent parties.

Nothing in these Terms creates an:

  • Employment relationship
  • Agency relationship
  • Partnership
  • Joint venture
  • Ownership interest
  • Franchise relationship
  • Management agreement
  • Fiduciary relationship
  • Attorney-client relationship

Neither the Sponsor, athlete, nor athlete’s family may enter an agreement, make a representation, incur an obligation, collect money, or make a commitment in PHENOM’s name.

PHENOM may not enter an agreement, make a commitment, negotiate terms, or accept an obligation on behalf of the youth athlete, parent or guardian, or Sponsor.

The Sponsor’s purchase creates a commercial agreement with PHENOM for the defined benefits in the selected package. It does not appoint PHENOM as the youth athlete’s representative or create a separate employment, endorsement, representation, or personal-services agreement between the Sponsor and youth athlete.

34. Changes to Program Benefits

PHENOM may update its program, package names, pricing, processes, eligibility requirements, or future benefits.

Changes will not materially reduce the defined benefits of an already activated Sponsorship Package unless a change is required because of:

  • Applicable law
  • An event or governing-body rule
  • Athlete health or safety
  • A parent or guardian’s decision
  • Sponsor misconduct
  • A third-party restriction
  • A circumstance outside PHENOM’s reasonable control

When necessary, PHENOM may provide a reasonably comparable substitute benefit.

35. Communications and Electronic Records

The Sponsor agrees that PHENOM may provide approvals, event confirmations, deadlines, notices, and other program communications electronically through email, text message, website communication, invoice, or social-media direct message.

The Sponsor is responsible for providing accurate contact information and monitoring the communication method used during the purchase and approval process.

Electronic approval, confirmation, or acceptance may be treated as written confirmation under these Terms.

Communications requiring parent or guardian approval must be sent to or confirmed by the authorized adult contact.

36. Order of Precedence

If promotional graphics, package descriptions, messages, invoices, or verbal statements conflict with these Terms, the following order applies:

  1. A separately signed written agreement approved by PHENOM and the athlete’s parent or legal guardian
  2. The confirmed order and any approved written custom terms
  3. These Youth Athlete Sponsorship Program Terms
  4. General package descriptions and promotional materials
  5. Informal or verbal statements

A modification to these Terms is effective only when confirmed in writing by an authorized PHENOM representative and, when it affects the youth athlete’s rights or obligations, approved by the athlete’s parent or legal guardian.

37. Severability and No Waiver

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

PHENOM’s decision not to enforce a provision on one occasion does not waive its right to enforce that provision or another provision later.

38. Governing Law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms must be brought in a court with proper jurisdiction in New Mexico unless applicable law requires otherwise.

39. Entire Agreement

These Terms, the confirmed order, the selected package description, and any approved written custom terms constitute the entire agreement between PHENOM and the Sponsor concerning the purchased Sponsorship Package.

The Sponsor is not relying on a promise, representation, or guarantee that is not included in those materials.

The youth athlete and parent or legal guardian participate in the program but are not made employees, partners, agents, or legal representatives of PHENOM or the Sponsor through the Sponsor’s purchase.

40. Acceptance of Terms

By purchasing a Youth Athlete Sponsorship Package, the Sponsor confirms that they:

  • Have reviewed the selected package benefits
  • Understand PHENOM’s limited administrative and promotional role
  • Understand that PHENOM is not an athlete agent, manager, or representative
  • Understand that PHENOM does not negotiate sponsorships or other agreements on an athlete’s behalf
  • Understand that all youth-athlete participation requires parent or legal guardian authorization
  • Accept the youth-safety and direct-contact restrictions
  • Understand the temporary website-placement period
  • Accept applicable uniform and event restrictions
  • Understand that competition and marketing results are not guaranteed
  • Accept the illness, injury, event-change, cancellation, and make-good provisions
  • Accept the intellectual-property and youth-likeness restrictions
  • Have authority to make the purchase on behalf of the named business, when applicable
  • Agree to these Terms

Checkout Agreement

I have reviewed and agree to the PHENOM Youth Athlete Sponsorship Program Terms, including PHENOM’s limited administrative and promotional role, parent or legal guardian requirements, youth-safety restrictions, uniform-placement rules, temporary website placement, Sponsor-content requirements, athlete illness or injury provisions, event-change policy, intellectual-property restrictions, and cancellation policy. I understand that PHENOM is not acting as an athlete agent, manager, or representative and does not negotiate sponsorships or other agreements on a youth athlete’s behalf.
